Terms of Service & Master Service Agreement

1. Introduction

These Terms of Service & Master Service Agreement ("Terms" or "Agreement") govern your use of ClipCrew.ai (the "Service") provided by Innoverse Media LLC ("we", "us", "our"). By subscribing to or using the Service, you agree to comply with these Terms. If you do not agree, please do not use the Service.

2. Service Description (Primary Service)

ClipCrew.ai provides an AI-powered video clipping service where users submit YouTube URLs or video files, and the Service extracts, edits, and optimizes short-form clips (the "Primary Service"). Specifically, the Service includes:

• Video Submission: Users provide YouTube video URLs or upload video files to the platform.
• AI-Powered Clip Extraction: The Service uses artificial intelligence to analyze the submitted video content and automatically identify, extract, and generate short-form video clips optimized for social media and other platforms.
• Clip Editing & Optimization: Generated clips are edited and formatted for maximum engagement, including appropriate aspect ratios, captions, and other enhancements.
• Clip Delivery: Processed clips are made available for download and use by the User through their account dashboard.

3. Definitions

• "User" / "You" refers to the individual or entity subscribing to or using the Service.
• "Content" refers to any video, audio, or other media you upload or provide to the Service for clip generation, and any generated clips or related outputs.
• "Subscription" refers to the payment plan you choose (monthly or yearly) to access the Service.
• "Primary Service" refers to the AI-powered video clipping, extraction, editing, and optimization service as described in Section 2.
• "Clips" / "Output" refers to the short-form video content generated by the Service from your submitted Content.

4. Eligibility

You must be at least 18 years old (or of legal age in your jurisdiction) to subscribe. By using the Service, you represent that you have the right and capacity to agree to these Terms, and that any Content you upload does not infringe third-party rights or violate applicable laws.

5. Service Usage

• We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for AI-powered video clipping of your own Content, subject to payment of applicable subscription fees.
• You are responsible for providing accurate Content and ensuring you have the legal right to upload and process such Content (e.g. you own copyright, or have permission).
• You are responsible for compliance with applicable local laws regarding data protection, copyright, and privacy for the Content you upload, including any personal data contained within.

6. Billing and Payment Terms

6.1 Subscription Plans & Billing Frequency

• The Service is offered on a Monthly or Yearly subscription basis. The specific plan and pricing are displayed on the ClipCrew.ai pricing page at the time of purchase.
• All subscription fees are billed in advance on a recurring basis — either monthly (every 30 days) or annually (every 365 days) — depending on the plan you select.

6.2 Currency & Payment Processing

• All prices are listed and charged in Indian Rupees (INR). For international customers, the amount will be converted by your payment provider at the prevailing exchange rate.
• Payments are securely processed through our payment processor, Razorpay. By subscribing, you authorize us to charge your chosen payment method for the recurring subscription fee until you cancel.

6.3 Free Trials & Promotions

• We may offer free trials, promotional plans, or discounts at our discretion. These may be subject to additional conditions communicated at the time of the offer.

6.4 Price Changes

• We reserve the right to modify subscription fees, plans, and offerings. In such cases, we will notify you at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6.5 Cancellation Policy

• How to Cancel: You can cancel your subscription at any time. To cancel, go to your account settings on ClipCrew.ai or contact our support team at support@clipcrew.ai.
• Effect of Cancellation: If you cancel, your subscription will remain active until the end of your current billing cycle (monthly or yearly, depending on your plan). After the end of that period, you will no longer be charged, and your access to the Service will be downgraded or terminated.

6.6 Refund Policy

• No Refunds for Partial Periods: We do not provide refunds for any unused portion of the subscription once payment has been made. You will retain full access to the Service until the end of your current billing cycle.
• Exception — Service Outage: If the Service experiences a continuous outage of more than 72 hours due to reasons within our control, you may request a pro-rated credit for the affected period by contacting support@clipcrew.ai.
• Duplicate or Erroneous Charges: If you are charged in error or charged multiple times for the same billing period, contact us at support@clipcrew.ai and we will issue a full refund for the duplicate or erroneous charge within 5–7 business days.

7. Termination / Cancellation

• You may cancel your subscription at any time via your account dashboard or by contacting support. Upon cancellation, your subscription will remain active until the end of the billing cycle.
• We reserve the right to suspend or terminate your account (or access to the Service) if you violate these Terms, if payment fails, or if required by law.
• Upon termination or cancellation, we may delete or anonymize your Content and account data after a certain grace period (as defined in our Data Retention Policy).

8. Intellectual Property

• You retain all rights, title, and interest in the Content you upload, including copyright and other intellectual property rights.
• By uploading Content, you grant us a license (non-exclusive, worldwide, royalty-free) to use your Content solely for the purpose of providing the video clipping service (storage, processing, editing, and clip generation).
• You also retain rights to the clips and outputs generated by the Service from your Content.

9. Prohibited Uses

You agree not to:

• Upload content you do not have rights to (e.g. copyrighted or third-party content without permission).
• Use the Service to infringe on rights of others, violate laws/regulations, or facilitate illegal activity.
• Attempt to reverse engineer, replicate, modify, or misuse the Service.
• Share your account credentials or allow unauthorized third parties to access the Service.

10. Disclaimers and Limitation of Liability

• The Service is provided "as is" and "as available." We do not guarantee that AI-generated clips will meet your specific requirements or expectations in all cases.
• We are not responsible for any loss or damage resulting from your use of the generated clips (e.g. legal, financial, reputational).
• We are not liable for any indirect, incidental, consequential, or punitive damages, even if we have been advised of the possibility of such damages.
• Our maximum aggregate liability under these Terms will not exceed the amount you have paid for the Service in the preceding 12 months.

11. Changes to Terms

We may modify these Terms from time to time. We will notify users of significant changes (e.g. via email or website banner). Continued use after changes constitutes acceptance of the revised Terms.

12. Governing Law / Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the jurisdiction of Innoverse Media LLC (as per our registration). Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts in that jurisdiction.
